A. Terms
PAYMENT TERMS: This invoice is final and binding on both parties.
For sales: 100% on purchase;
DELIVERY TERMS: Product costs are exclusive of delivery charges.
TRANSPORT CHARGES: Client should arrange his own vehicle including loading and offloading ex-warehouse. If GENNEX is consulted for delivery, our transportation options would be made available for selection.
Gennex Return Policy
All returns are subject to Gennex’s Returns policy. Gennex shall only accept returns based on obtained prior written consent and subject to the conditions of the returns policy.
For products that qualify for returns , the Product must be unused from the date of purchase, and returned within 3 days from the date of grant of the consent.
Returned Product must not have been installed or connected to electrical power, must be in original packaging, and only full kits may be returned; no partial kits will be accepted. Buyer is responsible for proper packing to ensure safe return, Buyer is responsible for all freight charges associated with returning Products and Buyer assumes all risk in the return transport, including loss and/or damage.
All returns are subject to Gennex’ s final count and inspection. All deposits are subject to total forfeiture for any reason at any time at the discretion of Gennex. Credit will not be issued for Products not returned as required in this section, or for damaged, used or obsolete Product, items with missing parts, or if the Product is received in a condition that prevents it being sold as new. Shipping and handling charges are not credited.
WARRANTY TERMS:
Inverter/Charge controller/ Online UPS: 18 Months manufacturer’s warranty from operational defect. See exclusions below.
Battery: 12 months manufacturer’s warranty from operational defect for Newmax and Narada batteries and 18months for Trojan. See exclusions below.
Solar panel: 25 years manufacturer’s warranty from operational defect.See exclusions below
GENNEX SOLAR PANEL WARRANTY
GENNEX provides 25 -Year warranty on all (Canadian Solar & Jinko Solar) Solar Panels installed by us and our AUTHORISED distributors
Faults due to voltage surge, wrong/self-installation, malicious damage, and negligence due to the customer are not covered by warranty and cost of repairs/replacement will be charged separately.
Warranty only applies when products are deployed and used according to the specifications mentioned herein:
- Service during the warranty period in the event of the occurrence of a defect for which Gennex Technologies Ltd is responsible during the agreed warranty period, Gennex Technologies Ltd will, at its options, either:
- Repair the defect(s) at the premises of Gennex Technologies or on site; or
- Provide equivalent replacement (used, repaired, re-engineered and tested) or a new device.
- Transportation:
- The solar panels must be transported back in original or equivalent packaging.
- The solar panels warranty does not cover transportation charges, cost on returning the panels, installation, removal or reinstallation of the solar panels.
- Warranty Claims: Conditions:
- In claiming warranty; customer must bring along the invoice of purchase, receipt, dated filled and signed warranty card or delivery notes.
- The serial number of the device must not be removed or cleaned off.
- Any action taken in connection with warranty claims must be coordinated with Gennex Technologies.
- In the event of replacement of a device; the remaining warranty period shall not exceed the subsisting period.
- Scope and Validity:
- The warranty shall only be applicable to the solar panels clearly identified by the serial number. Other installation accessories shall not be covered by warranty.
- Exceptions: Any defect caused by the following circumstances shall not be covered by warranty:
- Failure to comply with the operating instructions, the installation guide and the maintenance instructions.
- Faulty installation of the device.
- Faulty start-up of the device.
- Damage during the transportation of the device by customer.
- Improper use or misuse of the device.
- Interference with the device by a third party not assigned by the Company.
- FORCE MAJEURE (violent, humid environment or stormy weather, lightning, overvoltage, fire, power failure surges, flood, accidental breakage or other events outside manufacturer’s control etc.).
- In the event of visit for Fault/Service/Repairs (FSR) by Company’s Technician, a callout charge will be paid by the customer.
Battery Warranty
LIMITED WARRANTY – TROJAN SLA BATTERY
Gennex Technologies Ltd (“Authorized supplier of Trojan battery”) warrants, only to the original purchaser, that its batteries (Trojan SAGM 12V205Ah and SPRE 12V225Ah) if purchased from Gennex Technologies Ltd, and used in renewable energy or backup power applications will be free from material defects in material or workmanship from the date sold to the original purchaser through the 18 months (the “Warranty Period”). If the battery becomes unserviceable (not merely discharged) due to defect in material and/or workmanship within the Warranty Period, Gennex will, at Manufacturer’s option, either: repair the battery, or replace the battery with a same or similar battery. This warranty is non-transferable.

During the free repair or replacement period, the battery will be repaired or replaced with an in-kind replacement and after a battery has been repaired or replaced this warranty shall continue with respect to the repaired or replaced battery for the balance of the original warranty period on the original product.
A cell or battery will not be considered failed, defective or unserviceable unless it fails to support the designated load for a measurable period of time during the warranty period. A failed battery is not necessarily due to a manufacturing defect and must be verified.
HOW TO RECEIVE WARRANTY SERVICE AND/OR MAKE A CLAIM:
To resolve problems with a battery covered by this limited warranty for renewable energy and backup power applications, contact Gennex in order to confirm the battery condition/defect. You will need to provide proof of purchase along with the date code for the batteries and regular service records upon request. Gennex may inspect the battery, which may require having the batteries sent for testing to Gennex office with logistics prepaid by the customer.
Acceptance of the battery at the facility for testing does not mean that Gennex will accept the warranty claim. Batteries still in serviceable condition or otherwise not covered by this Limited Warranty will be returned to the customer at the customer’s expense and may be subject to a testing fee. WARRANTY EXCLUSIONS:
In addition to the warranty disclaimer set forth below, Gennex Technologies Ltd will not be responsible for any expenses for transportation, duties and taxes, installation, recharging, electrical system tests, loss of time, loss of use of equipment, service calls, use of rentals, or other expenses.
The Warranty Period will be reduced if operating temperatures exceed 30°C, as follows: the Warranty Period will be reduced by 50% for every 10°C of operating temperatures over 27°C.
Batteries should not be used in applications that exceed 50% Depth of Discharge (“DOD”). A battery end-of-life within the warranty period that is deemed to be caused by wear-out due to discharge / recharge cycling will not be considered a defect and will not be covered by the warranty. The battery’s life will vary based on the application in which they are used, ambient temperature, frequency of discharges and depth of discharges. Each discharge that exceeds the recommended depth of discharge as stated in Manufacturer’s literature will diminish battery life. The battery must be used in the application for which it was designed. The battery owner must read warning labels on the battery and exercise due care in working on or around it. The battery is intended to be serviced only by persons with training or experience with batteries.
Trojan batteries must be maintained in accordance with Trojan Battery’s Operating and Maintenance instructions (www.trojanbattery.com) and the owner of the batteries must maintain a maintenance log indicating records of use and maintenance, including initial (installation) data and shall at all times permit examination of these records by Trojan Battery Company authorized representatives.
THE PROVISIONS OF THIS LIMITED WARRANTY SHALL NOT APPLY OR EXTEND TO ANY PRODUCTS THAT HAVE BEEN SUBJECTED TO:
Accident, abuse or neglect such as improper fluid levels (over or under watering); discharging beyond depth of discharge recommended in Manufacturer’s literature; damage from shipping; loose wiring; rusted or corroded hardware; improper maintenance; improper installation; improper storage; improper removal; improper repair; neglect; breakage; cracked covers and cases; bulged or otherwise damaged cases from heat; freezing; fire; broken/melted terminals; explosion; wreckage; exposure to excessive heat or cold temperatures; operating conditions or applications above the rated capacity of the product; the addition of any chemical or solution; insufficient charging (undercharging, overcharging or lack of periodic equalization charges); use of the battery in an uncharged condition; discharged batteries; improperly sized batteries or oversized battery sets; improperly sized charging systems; batteries damaged from electrical equipment; if the manufacturing and/or finishing date codes have been destroyed or tampered with; or if the batteries have not been used, operated and/or maintained in accordance with Trojan Battery Company’s Operating and Maintenance instructions.
WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY
This limited warranty is exclusive and is in lieu of, and manufacturer disclaims and excludes, all other warranties or remedies for breach of warranty, whether statutory, express or implied warranties, including, without limitation, any warranty of merchantability, non-infringement, or fitness for a particular purpose. Manufacturer’s exclusive liability for breach of any warranty on the battery shall be to repair or replace the battery within the warranty period in accordance with the terms of this limited warranty. In no event shall Gennex Technologies Ltd be liable in contract, tort or otherwise for any loss, claim or damages of any other kind, whether direct, incidental, consequential, exemplary, special, punitive, remote or otherwise, including any lost profits, lost revenue, loss of equipment, cost of purchased power, cost of substitute product, facilities or services, claims of customers of owner, or removal, shipping, transportation or installation expenses. Further, in no event will Gennex Technologies Ltd total liability exceed the sum paid by owner for the product giving rise to the claim hereunder.
EXCEPT FOR THE WARRANTY SET FORTH ABOVE, SELLER MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE GOODS, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS
FOR A PARTICULAR PURPOSE; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OFPERFORMANCE, USAGE OF TRADE OR OTHERWISE.
All warranties implied by country or state law, including implied warranties of merchantability and fitness for a particular purpose, are expressly limited to the duration of the limited warranties set forth above.
No person, agent, distributor, dealer or other third party is authorized to change, modify, or extend the terms of the limited warranty in any manner whatsoever.

NEWMAX WARRANTY
ONE YEAR GUARANTEE
Korea Battery Co., Ltd. guarantees to the original end user that PNB Series with Premium AGM technology will be free of defects in Material and workmanship for 12 months from date of shipment. Korea Battery Co., Ltd. must be notified immediately upon suspicion of any possible defects and be given the authority to inspect any questionable sites and/or receive complete report on the incident. If Korea Battery Co., Ltd. determines the batteries to be defective due to faulty material or workmanship, it will repair or replace them at its option, without charge, FOB port of original loading.

GENERAL OPERATING & WARRANTY CONDITIONS
- Charging voltage 2.20-2.24 VPC at 25 deg. C. The batteries are assumed to be used in floating charge application without equalizing charging.
- Temperature:
- Average annual ambient temperature shall not exceed 77 deg. F/25 deg. C.
- Cell temperature shall not exceed 92 deg. F/33 deg. C. for more than 30 days per year.
- The vent caps must not be tampered with or removed.
- The batteries must not be contaminated by any foreign matter.
- This warranty does not apply to broken containers, covers or battery terminals which have been frozen or damaged due to neglect or abuse such as fire, flooding, explosives or any acts of nature.
- Registration, installation and periodic inspection reports regarding temperature and conditions of use are to be maintained by the end user and made available to Newmax Battery on request to support any warranty adjustment claim.
- All batteries should be recharged immediately following a discharge.
- No battery will be covered under warranty in the event of improper installation and maintenance such as overcharging, undercharging, charging or installing in reverse polarity.
- All maintenance functions (handling, storage, installation, charging and discharge) must be performed in accordance with Newmax battery’s Operating manual.

Lithium Batteries Warranty
INVERTER WARRANTY
Gennex provides 18 months warranty on all Gennex inverters installed by us and our AUTHORISED distributors

Warranty only applies when products are deployed and used according to the specifications mentioned herein:
- Service during the warranty period: – In the event of the occurrence of a defect for which Gennex Technologies Ltd is responsible during the agreed warranty period, Gennex Technologies Ltd will, at its options, either
- Repair the defect(s) at the premises of Gennex Technologies or on site; or
- Provide equivalent replacement (used, repaired, re-engineered and tested) or a new device.
- Please note that mainboard replacements under warranty are limited to a single instance.
- Transportation
- Customer shall be responsible for the transportation of the inverter to the Company’s Head Office situated at 25 Adebisi Ogunniyi crescent, Off Oladimeji Alo street, Ikate Lekki, Lagos
- The inverters must be transported back in original or equivalent packaging.
- Warranty Claims: Conditions
- In claiming warranty; customer must bring along the invoice of purchase, receipt or delivery notes.
- The serial number of the device must not be removed or cleaned off.
- Any action taken in connection with warranty claims must be coordinated with Gennex Technologies.
- In the event of replacement of a device; the remaining warranty period shall not exceed the subsisting period.

- The warranty shall only be applicable to the inverter clearly identified by the serial number. Other installation accessories (Control Box, DC & AC cables) shall not be covered by warranty.
- Exceptions:- Any defect caused by the following circumstances shall not be covered by warranty:
- Failure to comply with the load estimate, operating instructions, the installation guide and the maintenance instructions.
- Faulty installation of the device.
- Faulty start-up of the device.
- Damage during the transportation of the device by customer.
- Improper use or misuse of the device.
- Insufficient ventilation of the installation area/space of the device.
- Interference with the device by a third party not assigned by the Company.
- Rebranding of the inverter to cover the Gennex brand name and logo.
- FORCE MAJEURE (violent, humid environment or stormy weather, lightning, overvoltage, fire etc.).
- In the event of visit for Fault/Service/Repairs (FSR) by Company’s Technician, a callout charge (N10, 000.00) Ten Thousand Naira only will be paid by the customer.
- Gennex Technologies will not be liable for compensation claims arising from poorly calibrated power input sources into the device during change of generators or mains supplies.
CHARGING WITH GENERATOR
when public power supply (NEPA/PHCN) is not available, kindly ensure you use the right type of generator to charge. Please see table below for appropriate generator capacity for your inverter model.

IMPORTANT INSTALLATION REQUIREMENT
Battery Connection
- For safety operation and regulation compliance, it’s requested to install a separate DC over-current protector or disconnection device between battery and the inverter.
- Recommended specification of DC breaker is 63A and 100A
AC Input/Output Connection
- Install a separate AC breaker between the inverter and the AC input power source
- This is to ensure that the inverter can be safely disconnected during maintenance and fully protected from over-current
Recommended Spec of input AC Breakers
- 16A for 2kW
- 32A for 3kW
- 50A for 5kW
It is also recommended to install AC input with AC surge protection.
It is also recommended to ensure good earthing is connected to the earthing terminal of the inverter. Voltage measurement of the earthing system should be conducted on every site and recorded for record purpose.
PV connection
- Before connecting to PV modules, please install a separately DC circuit breaker between the inverter and PV module (double pole breaker).
- It is requested to use PV junction box with surge protection, it will protect the inverter when lightning occurs on PV modules.
- It is also recommended to confirm the installation of a lighting arrestor on the building.
Warranty is void if upon warranty claims, all the above statutory technical requirement are not installed or observed on installation site.
GROWATT INVERTER WARRANTY
Gennex provides 18 months warranty on all Growatt inverters installed by us and our AUTHORISED distributors.
Faults due to voltage surge, wrong/self-installation, malicious damage, and negligence due to the customer are not covered by warranty and cost of repairs/replacement will be charged separately.
Warranty only applies when products are deployed and used according to the specifications mentioned herein:
- Service during the warranty period: – In the event of the occurrence of a defect for which Gennex Technologies Ltd is responsible during the agreed warranty period, Gennex Technologies Ltd will, at its options, either
